Senior Securities Paralegal / Assistant Corporate Secretary

About the Role
We are seeking an experienced Senior Securities Paralegal / Assistant Corporate Secretary to join our client’s Legal Department. This role focuses on Section 16 and NYSE compliance, proxy statement preparation, corporate governance, subsidiary management, and governance support for corporate transactions (including acquisitions, divestitures, financings, and restructurings).
You will report directly to the General Counsel and Corporate Secretary and play a critical role in ensuring strong governance practices and regulatory compliance across the organization.
What You’ll Do
Public Company Governance
- Manage Section 16 and NYSE compliance, including preparing and filing SEC Forms 3, 4, and 5.
- Lead preparation, filing, and distribution of the annual proxy statement and coordinate related governance activities.
- Oversee relationships with stock transfer agents, proxy solicitors, financial printers, and related vendors.
- Prepare materials and filings for the Annual Meeting of Shareholders.
- Administer the Board Portal and interact regularly with directors on compliance and governance matters.
Corporate Governance
- Oversee subsidiary management, including drafting resolutions, maintaining corporate databases (e.g., hCue), and coordinating with U.S. and international counterparts.
- Draft and maintain key corporate documentation (consents, resolutions, certifications, meeting minutes).
- Manage corporate records, filings, and registrations for U.S. and international subsidiaries.
- Partner with Tax and Treasury teams on transactions, KYC requests, and compliance needs.
Equity & Compliance
- Support equity plan administration and monitor insider trading activity.
- Ensure compliance with Section 16 rules.
M&A and Financings
- Assist with due diligence, closing logistics, and post-merger integration for acquisitions, divestitures, and financings.
General Legal Support
- Collaborate with internal teams and outside counsel on governance and transactional matters.
- Manage relationships with key legal vendors.
What We’re Looking For

Bachelor’s degree or ABA-approved paralegal certificate.

5+ years of experience in securities law, corporate governance, and compliance.
- Strong knowledge of:
- Securities Act of 1933, Securities Exchange Act of 1934, and SEC regulations.
- NYSE requirements.
- Section 16 reporting and proxy statement processes.
- Experience managing annual meetings of shareholders.
- Proven ability to work independently, handle multiple priorities, and exercise sound judgment under pressure.
- Excellent communication, drafting, and organizational skills.
- Advanced proficiency with:
- Microsoft Office Suite
- hCue or similar entity management systems
- BoardVantage or similar board portal software
- EDGAR, NYSE Listing requirements, and Section 16 filing platforms
